Pillar 5 of 5

Foundational Readiness

Are there obvious product-related issues around security, privacy, ownership or commitments that should be addressed or referred before diligence?

Perform a deliberately light-touch check for obvious product-related diligence issues outside the core product and commercial assessment, identifying gaps that can be addressed before a raise or sale and referring matters requiring specialist security, privacy or legal expertise.

This pillar is lighter touch to identify weaknesses that could undermine the product story or create avoidable concern in diligence.

This is one of five connected pillars used to assess a digital product’s readiness for buyer scrutiny.

How this pillar is examined

5.1

Security & Privacy

Assess whether there are obvious security or privacy gaps, missing evidence or known issues that are likely to surface during diligence and should be addressed or referred beforehand.

Security and privacy questions can create avoidable friction during diligence when expected evidence is missing or known issues have not been dealt with. Identifying these early gives the company an opportunity to improve its readiness or obtain appropriate specialist support.

5.2

Rights & Commitments

Assess whether the company appears to have the rights needed to own, use and transfer the product, and whether licences or product-related commitments create any obvious constraints that should be addressed or referred before diligence.

Unclear ownership, missing assignments, problematic licences or unusual product commitments can become significant issues once diligence begins. Surfacing them beforehand allows the company to clarify, document or remediate what it can and seek specialist advice where necessary.
